While Asia is now a hub of M&A activity, deals often play out more unpredictably than in more developed markets. As Asian companies become more acquisitive across the world, a full grasp of the associated risk issues is essential.  

Transaction insurance products are designed to cover the various liabilities potentially present in M&A transactions. Warranty and Indemnity (W&I) insurance can be an effective tool to protect your business against a variety of post-closing exposures. One of the more contentious aspects of the negotiation of any sale and purchase agreement is the nature of the warranties given by the seller and the bearing of appropriate liability by the seller in respect of any breaches of these warranties. By transferring the risk of financial loss arising from breaches of warranties discovered post-closing to insurers for a known, fixed, premium cost, W&I insurance can allow parties to successfully conclude an M&A transaction.

In this seminar, Sandra Lee and Aris Wong will take you through the strategic uses, scope and process timing of W&I Insurance to illustrate how concerns of both the buyer and seller in an M&A transaction may be met with optimal outcomes through the placement of W&I insurance. 

This is followed by a panel discussion in which panellists share their experiences from different perspectives in the placement of W&I insurance as (i) transaction/ deal counsels; (ii) insurers’ underwriting counsels; (iii) client advisor; and (iv) insurers. 

This seminar will be especially useful for legal practitioners who advise clients on M&A transactions.
